1. Acceptance of Terms

By creating an account, logging in, or using the Appraiser Guru service in any way, you agree to be bound by these Terms of Service. You also agree to comply with our Privacy Policy, Data License Agreement, Acceptable Use Policy, and Cookie Policy, all of which are incorporated herein by reference and form part of this agreement.

If you do not agree to these terms, please do not create an account or use the Service. Continued use of the Service constitutes your acceptance of any updates to these Terms.

2. Description of Service

Appraiser Guru is a cloud-based software-as-a-service (SaaS) platform designed for licensed real estate appraisers. The platform provides tools and features including, but not limited to:

  1. UAD 3.6 and legacy Uniform Appraisal Dataset report creation and management
  2. Historical data import and storage in MISMO XML format
  3. Comparable sales database with shared community comp pool
  4. AI-assisted auto-fill, adjustments, and narrative generation powered by Anthropic Claude
  5. Property photo upload and AI-powered image analysis
  6. Floor plan sketching and annotation tools
  7. Integration with AMC platforms (Mercury Network, Reggora, and others)
  8. FEMA flood zone and flood risk lookup
  9. PDF, MISMO XML, and CSV export capabilities
  10. Referral program and community membership features
  11. Secure cloud storage with industry-standard encryption

Appraiser Guru is a tool to assist appraisers in creating and managing reports. It is not a complete appraisal workfile repository. Appraisers remain responsible for maintaining their own workfile copies for record retention purposes.

3. Eligibility

To use Appraiser Guru, you must:

  1. Be at least 18 years of age
  2. Hold a valid state appraisal license or certification from any U.S. state or territory
  3. Agree to comply with all applicable state and federal appraisal regulations and the Uniform Standards of Professional Appraisal Practice (USPAP)
  4. Not be using the Service for any unlawful purpose or in any way that violates this agreement

You certify that all information you provide is accurate and that you are legally permitted to appraise property in the states you select.

4. Account Registration and License

4.1 Account Creation

Upon registration, you must provide accurate information including your full name, email address, state appraiser license number, and states where you are licensed to practice. You are responsible for keeping this information current. Providing false information is grounds for immediate termination.

4.2 Single-User License

Each Appraiser Guru subscription is licensed to a single individual appraiser. You agree not to share your account with trainees, assistants, employees, or any other person. Multi-user or firm subscriptions are available separately; contact sales@ergora.ai for enterprise options.

4.3 Firm and Enterprise Licenses

If you wish to license Appraiser Guru for multiple users within your appraisal firm, you must contact sales@ergora.ai. Firm subscriptions require a separate agreement and may include additional terms and pricing.

4.4 Account Sharing Prohibited

Sharing your account credentials with anyone else is strictly prohibited. Ergora reserves the right to monitor for account sharing behavior, including but not limited to tracking login locations, IP addresses, and device information. Violations may result in immediate account suspension or termination without refund.

5. Free Trial, Subscription, and Payment

5.1 Free Trial

New users receive a free trial period allowing up to 10 completed appraisal reports with no time limit. No credit card is required to access the trial. Upon completion of 10 reports or at your request, you may upgrade to a paid subscription. If you do not upgrade, your data will be retained for 90 days, after which it will be deleted.

5.2 Subscription Plans

Appraiser Guru offers the following subscription options, all of which include access to the full platform feature set:

  • Monthly Plan: $249 USD per month, billed monthly in advance
  • Annual Plan: $199 USD per month ($2,388 USD per year), billed upfront annually
  • Founding Member Plan: $149 USD per month ($1,788 USD per year), available only to the first 100 paid subscribers; price locked for life of continuous subscription (see Section 5.3 and Founding Member Agreement)

All plans provide identical access to platform features. The difference is billing frequency and, for Founding Members, price lock.

5.3 Founding Member Terms

Founding Member status is available only to the first 100 individual subscribers after the paid launch of Appraiser Guru. Founding Members receive:

  • Lifetime price lock: $149/month ($1,788/year) as long as the subscription remains active
  • Full platform access identical to other subscription tiers

Founding Member pricing is contingent on continuous annual subscription. If your payment lapses, you will have a 30-day grace period to resolve the issue before Founding Member status is permanently forfeited. During the grace period, your account remains active and you retain access to the platform. If payment is not resolved within 30 consecutive days, Founding Member status and pricing are permanently forfeited. If you re-subscribe later, you will be charged the current standard rate. Founding Member terms are more fully described in the Founding Member Agreement.

5.4 Billing

All subscription charges are billed in USD. Monthly subscriptions are billed on the anniversary of your sign-up date each month. Annual subscriptions are billed on the anniversary of your purchase date each year. You authorize Ergora to charge your payment method automatically until you cancel.

5.5 Refunds

Monthly subscriptions are non-refundable; however, your access to the Service continues through the end of your paid billing period. Annual subscriptions may be refunded within 60 days of purchase, provided you have not exceeded the free trial limit (10 reports). No refunds are issued after the 60-day window. Refunds are issued to the original payment method.

5.6 Automatic Renewal

All subscription plans automatically renew at the end of each billing period unless you cancel beforehand. Monthly subscriptions renew monthly; annual subscriptions renew annually. Founding Members renew at the locked Founding Member rate ($149/month). You can cancel your subscription at any time through your account settings, and no further charges will be made.

5.7 Price Changes

Ergora reserves the right to adjust subscription pricing in the future. We will provide 30 days' advance notice of any price increase via email and/or in-platform notification. Your existing subscription rate is honored for the current billing period. Price changes take effect on your next renewal. Founding Members' locked rate of $149/month is exempt from standard price increases (see Founding Member Agreement for exceptions).

6. Data Ownership and License

6.1 Your Data Ownership

You retain full ownership of all appraisal reports, property data, photos, floor plans, and other content you create or upload to Appraiser Guru. Ergora does not claim ownership of your original work. You grant Ergora a limited license to store, process, and display your data for the purpose of providing the Service to you.

6.2 Data License Agreement

Your rights with respect to data, including how Ergora may use anonymized data and how your contributed comparable sales are handled, are more fully described in the Data License Agreement, which is incorporated herein by reference. Please review that document carefully.

6.3 Data Royalty Program

Ergora offers an optional Data Royalty Program under which the appraiser community shares in the revenue from data licensing. Sixty percent (60%) of all data licensing revenue is distributed quarterly to participating members based on the quality and volume of their contributions. Participation is voluntary and requires affirmative opt-in. The Data Royalty Program is described in full in the Data Royalty Program Agreement. All members earn equally based on their data contributions. Active participation in the Appraiser Guru Data Sharing Pool requires identity verification via Stripe Identity and a valid appraiser license confirmed against the ASC National Registry.

6.4 Data Portability

You may export your data at any time in MISMO XML, CSV, PDF, or compressed ZIP format. Ergora provides no-charge export functionality. If you cancel your subscription, you have 30 days to download your data before it is permanently deleted from Ergora's servers.

7. Referral Program

Appraiser Guru offers a voluntary, opt-in referral program whereby you may earn a commission for referring new appraisers to the platform. Participation is not automatic — you must affirmatively enroll via your account settings.

7.1 Enrollment

The Referral Program is opt-in only. To participate, navigate to your account settings and click "Join Referral Program." You are not automatically enrolled at signup, and you are never required to participate.

7.2 Referral Codes

Upon enrollment, the system generates a unique referral code (e.g., REF-JP1234) and a personalized referral link. You may also set a custom referral code (e.g., REF-GREGRAMSEY) via your account settings, subject to availability and content guidelines.

7.3 Referral Rewards

  • Referrer Reward: You earn a $100 credit applied to your membership dues for each referred appraiser who becomes a paying member and maintains an active subscription for 90 consecutive days
  • New Member Discount: Referred members receive 10% off their first year of membership (Founding Members at the $149/mo locked rate are excluded from this discount as they are already at the lowest rate)
  • Active Subscription Required: Both you and the referred user must maintain active subscriptions for the referral reward to apply
  • Single Level: Referral rewards are limited to direct referrals only. There are no second-level or multi-tier commissions

7.4 Opting Out

You may leave the Referral Program at any time via your account settings. Upon opting out, your referral code is deactivated and no new referrals can be attributed to you. Accrued commissions from existing referrals are still paid per the schedule in the Referral Program Terms.

7.5 Program Modifications

Ergora may modify or discontinue the Referral Program with 30 days' written notice. The Referral Program is a flat-rate, single-level referral reward. It is not a multi-level marketing program. Full terms and restrictions are described in the Referral Program Terms document, which is incorporated by reference.

8. AI-Generated Content

8.1 AI Assistance

Appraiser Guru includes artificial intelligence features powered by Anthropic's Claude API to assist with narrative generation, adjustment justification, comparable sales scoring, photo analysis, and MLS data parsing. These features are provided as suggestions and tools to aid your appraisal work.

8.2 Your Responsibility

You are solely responsible for reviewing, editing, and approving all AI-generated content before including it in any appraisal report. AI outputs must be independently verified for accuracy, appropriateness, and compliance with USPAP and your state's appraisal standards. Never use AI-generated content without thorough review.

8.3 No Professional Advice

AI-generated outputs are suggestions, not professional appraisal conclusions. The AI does not substitute for your professional judgment, experience, or responsibility as the appraiser of record. You are the final authority on all appraisal conclusions.

8.4 USPAP Compliance

Appraiser Guru assists in creating appraisals but does not and cannot guarantee USPAP compliance. You remain solely responsible for ensuring all work meets USPAP requirements, your state licensing board's standards, and any lender or client requirements. Non-compliance is your responsibility, not Ergora's.

8.5 Limitations

Artificial intelligence models can produce errors, hallucinations, or inappropriate outputs. They may misunderstand context, produce biased results, or fail to recognize important factors in a particular appraisal scenario. See the AI Disclaimer document for full details on AI limitations and your responsibilities.

9. AMC and Third-Party Integrations

Appraiser Guru integrates with third-party platforms including AMC (Appraisal Management Company) services such as Mercury Network and Reggora. When you authorize these integrations:

  • You authorize Ergora to transmit your data to the third-party platform as needed to fulfill the integration
  • Ergora is not responsible for how the third-party platform handles, stores, or protects your data
  • You agree to comply with the third-party platform's terms of service and data policies
  • Third-party data sources (including MLS, FEMA, Google) are provided as-is; Ergora does not guarantee their accuracy or completeness

You are responsible for ensuring that any data you contribute to the platform — particularly MLS data you paste from Multiple Listing Service sources — complies with MLS rules and restrictions. Ergora does not redistribute raw MLS data.

10. USPAP and Professional Standards

Appraiser Guru is a software tool designed to assist appraisers. It is not a complete appraisal workfile repository. Under the Uniform Standards of Professional Appraisal Practice (USPAP), appraisers are required to maintain workfiles for at least 5 years. While Ergora retains data during your subscription and for 30 days after cancellation, we recommend you maintain your own independent copies of completed appraisals to ensure USPAP compliance.

Ergora's export feature (MISMO XML, PDF, CSV) enables you to maintain separate workfile copies. You are solely responsible for your appraisal methodology, conclusions, and compliance with USPAP and your state's appraisal regulations.

11. Intellectual Property

11.1 Ergora's Intellectual Property

Ergora owns all intellectual property rights in the Appraiser Guru software, including the user interface, algorithms, machine learning models, database structure, and any data derived from aggregation of user contributions ("Aggregated Data" or "Derivative Works"). This intellectual property is protected by copyright, trade secret law, and other applicable laws.

11.2 Your License

You receive a limited, non-exclusive, non-transferable, and revocable license to use Appraiser Guru solely for your personal appraisal practice. You may not sublicense, resell, or otherwise transfer this license to any third party.

11.3 Trademarks

"Ergora" and "Appraiser Guru" are trademarks of Ergora LLC. You agree not to use these trademarks without express written permission from Ergora.

12. Prohibited Uses

You agree not to use Appraiser Guru for any of the following purposes:

  1. Any unlawful purpose or in violation of any applicable law or regulation
  2. Violating USPAP or your state's appraisal standards
  3. Submitting false, fraudulent, or misleading appraisal information
  4. Sharing your account with others or allowing unauthorized access
  5. Attempting to gain unauthorized access to the Service or its systems
  6. Reverse engineering, decompiling, or attempting to derive source code or algorithms
  7. Automated access, scraping, or data harvesting without permission
  8. Reselling, redistributing, or attempting to create a competing service using Ergora's platform
  9. Interfering with or disrupting the integrity or performance of the Service
  10. Circumventing security measures or attempting to breach system protections
  11. Impersonating any person or entity

13. Disclaimers

13.1 As-Is Service

APPRAISER GURU IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ERGORA MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR MEET YOUR EXPECTATIONS.

13.2 No Professional Advice

The Service is a software tool for appraisers. It does not provide legal, financial, or professional appraisal advice. You are responsible for all professional conclusions and compliance with applicable standards.

13.3 AI Disclaimer

AI-generated content may contain errors or inappropriate suggestions. You must independently review all AI outputs. See the AI Disclaimer document for full details.

13.4 Third-Party Data

Data from FEMA, Google, and other third parties is not guaranteed accurate. Ergora does not verify third-party data and is not responsible for its accuracy or completeness.

13.5 No Uptime Guarantee

While we make reasonable efforts to maintain service availability, we do not guarantee 100% uptime or specific response times. We do not offer a Service Level Agreement (SLA).

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ERGORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM.

ERGORA'S TOTAL LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO ERGORA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) FIVE HUNDRED DOLLARS ($500).

This limitation of liability does not apply to Ergora's obligations and restrictions regarding Your Data as described in Section 4 of the Data License Agreement. In the event of Ergora's material breach of those data protection provisions, you may pursue full damages without limitation.

15. Indemnification

You agree to indemnify, defend, and hold harmless Ergora LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from or relating to:

  1. Your use of Appraiser Guru or violation of these Terms
  2. Your data and content, including any appraisal reports you create or upload
  3. Any appraisal work you produce using the platform, including claims of negligence, breach of standards, or damages alleged by third parties relying on your appraisals
  4. Your reliance on AI-generated content without independent verification
  5. Your violation of USPAP, state appraisal standards, or professional licensing requirements

16. Modifications to Terms

Ergora reserves the right to modify these Terms of Service at any time. Material modifications will be announced at least 30 days in advance via email and/or notification within the Service. Your continued use of the Service following such notice constitutes your acceptance of the modified terms. If you do not agree with any modification, you may cancel your subscription.

17. Termination

17.1 Cancellation by You

You may cancel your Appraiser Guru subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months, though your access continues through the end of the paid period.

17.2 Termination by Ergora

Ergora may suspend or terminate your account immediately if:

  1. You breach any material provision of these Terms
  2. You engage in fraudulent activity or misrepresent information
  3. You share your account with others
  4. Your subscription payment fails and you do not resolve it within 15 days
  5. You use the Service in violation of the Acceptable Use Policy

17.3 Data After Termination

Upon termination or cancellation, you have 30 days to export your data in MISMO XML, CSV, PDF, or ZIP format. After 30 days, your data will be permanently deleted from Ergora's servers and cannot be recovered. Ergora is not responsible for data loss after the 30-day export window.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

18.2 Informal Resolution

Before initiating formal legal proceedings, you and Ergora agree to attempt to resolve any dispute informally. You agree to notify Ergora in writing of any claim and to provide Ergora 30 days to attempt resolution.

18.3 Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under the AAA Rules of Arbitration. The arbitration shall be conducted in Wayne County, Michigan. If this arbitration provision is found unenforceable or inapplicable in any jurisdiction, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Wayne County, Michigan.

18.4 Individual Capacity Only

YOU AGREE THAT ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT.

19. General Provisions

19.1 Entire Agreement

These Terms of Service, together with the Privacy Policy, Data License Agreement, Data Royalty Program Agreement, Referral Program Terms, Founding Member Agreement, Acceptable Use Policy, Cookie Policy, and AI Disclaimer, constitute the entire agreement between you and Ergora regarding the use of Appraiser Guru and supersede all prior negotiations and agreements.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19.3 Waiver

The failure of Ergora to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

19.4 Assignment

You may not assign these Terms to any third party without Ergora's written consent. Ergora may assign these Terms to any successor or affiliate.

19.5 Force Majeure

Ergora shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, government action, or internet outages.
