Data Royalty Program Agreement

This Data Royalty Program Agreement ("Program Agreement") governs your participation in the Ergora Data Royalty Program ("Program"). This Program Agreement supplements and is subject to the Terms of Service and the Data License Agreement. By enrolling in the Program, you agree to be bound by this Program Agreement.

ENROLLMENT IN THE DATA ROYALTY PROGRAM IS VOLUNTARY AND REQUIRES AFFIRMATIVE OPT-IN. USING THE SERVICE DOES NOT AUTOMATICALLY ENROLL YOU IN THIS PROGRAM.

1. Program Overview

The Data Royalty Program is a revenue-sharing arrangement in which Ergora distributes sixty percent (60%) of all Data Revenue (as defined in the Data License Agreement) to eligible participating members on a quarterly basis. The remaining forty percent (40%) is retained by Ergora for operational expenses, platform development, and business operations.

The Program recognizes that the value of Ergora's aggregated data products is created by the collective contributions of its appraiser community.

2. Eligibility

2.1 Requirements

To be eligible, you must meet ALL of the following:

  • Active, paying subscriber in good standing
  • Affirmatively enrolled through the Service interface
  • Contributed at least one (1) completed appraisal report created within the Service OR imported at least ten (10) XML files
  • Account not suspended, restricted, or flagged for violations
  • Provided accurate tax information (W-9 or equivalent)

2.2 Ongoing Eligibility

Eligibility is assessed quarterly. You must maintain an active, paid subscription and be in good standing at the end of each calendar quarter. If your subscription lapses during a quarter, you will receive a prorated distribution.

2.3 Free Trial Users

Users on the free trial are not eligible. Eligibility begins upon the start of a paid subscription.

3. Revenue Pool Definition

3.1 What Constitutes Data Revenue

The revenue pool consists of 60% of all Data Revenue: gross revenue from the licensing, sale, or commercial exploitation of Aggregated Datasets and Derivative Works. Examples include licensing fees from AVM providers, lenders, institutional investors, insurance companies, and PropTech companies.

3.2 What Is Excluded

Data Revenue expressly EXCLUDES: subscription fees, referral commissions, consulting fees, advertising revenue, investment income, revenue from services where aggregated data is only an input, and revenue collected by third-party sublicensees.

3.3 Revenue Verification

Ergora will maintain accurate books and records. Upon reasonable written request (no more than once per calendar year), a participating member may request a summary of total Data Revenue for the preceding twelve months, verified by the Company's financial officer.

4. Contribution Scoring

4.1 Scoring Methodology

Each participating member receives a Contribution Score calculated based on quality, quantity, uniqueness, and recency of contributed data.

4.2 Recency Weighting

Contribution Scores are weighted by the recency of each appraisal's effective date. The recency multipliers applied to each appraisal are:

  • 0–6 months: 2.0× multiplier
  • 6–12 months: 1.5× multiplier
  • 1–2 years: 1.2× multiplier
  • 2–5 years: 1.0× multiplier
  • 5–20 years: 0.5× multiplier
  • 20+ years: 0× (does not contribute to score)

4.3 Score Calculation

Contribution Scores are recalculated at the end of each calendar quarter. Scores reflect cumulative contributions, meaning historical data continues to generate points (subject to recency weighting).

4.4 Score Visibility

Your current score, contributing factors, and approximate percentile ranking will be visible in your account dashboard once the Program is active. Exact scores of other members are not disclosed.

5. Distribution Formula and Payment

5.1 Quarterly Distribution

Distributions are calculated and paid quarterly: Q1 by April 30, Q2 by July 31, Q3 by October 31, Q4 by January 31.

5.2 Individual Payout Calculation

Your Payout = (Your Contribution Score / Sum of All Scores) × 60% of Quarterly Data Revenue

5.3 Minimum Distribution Threshold

If your calculated distribution is less than $25.00, the amount rolls forward to the next quarter until the threshold is met or you terminate participation.

5.4 Payment Method

Distributions are applied first as a credit toward your next subscription payment. After your subscription is fully covered, remaining balance is paid by ACH direct deposit or check.

5.5 Tax Reporting

Ergora will issue IRS Form 1099-NEC to any member receiving $600.00 or more in a calendar year. You are solely responsible for reporting distributions as income and paying applicable taxes. You must provide accurate tax identification information (W-9) to receive distributions.

6. Transparency and Reporting

Ergora will provide each participating member with a quarterly statement including: total Data Revenue, total revenue pool (60%), your Contribution Score, sum of all scores, your percentage of the total, calculated distribution amount, any rollover, and net amount distributed. An annual summary suitable for tax reporting is also provided.

7. Program Modifications

7.1 Ergora's Commitment

The data sharing revenue pool is set at 60% of Data Revenue. This is not a time-limited lock or a contractual ceiling with an expiration — it is a founding principle of how Ergora operates. Members create the data that makes this platform valuable, and they share proportionally in that value.

Ergora's promise: the member pool percentage will not be reduced. Ever.

7.3 Scoring Methodology Changes

Ergora may modify the scoring methodology with at least 90 days' advance written notice. Changes are applied prospectively from the start of the next full calendar quarter.

7.4 No Retroactive Changes

No modifications will be applied retroactively. Distributions already calculated and owed will be paid under the terms in effect at the time of calculation.

8. Termination of Participation

8.1 Voluntary Opt-Out

You may opt out at any time through account settings or by written notice to support@ergora.ai. Upon opting out: you receive a final prorated distribution, accumulated rollover amounts below $25.00 are paid out, your score is removed from future calculations, and you may re-enroll (with recalculated score).

8.2 Subscription Termination

If your subscription lapses, Program participation terminates automatically. You receive a final prorated distribution. Revenue sharing stops completely. Your Contributed Data remains per the Data License Agreement, but you will no longer receive royalties.

8.3 Removal by Ergora

Ergora may remove you immediately without prior notice if you violate the Terms of Service, submit fraudulent data to inflate your score, engage in scoring manipulation, or your appraiser license is revoked, suspended, or expires. Accrued but unpaid distributions may be forfeited.

9. Data Integrity and Anti-Gaming

The following actions constitute violations and may result in immediate removal and account termination: submitting fabricated reports, submitting duplicates to inflate volume, importing the same XML files multiple times, submitting known inaccurate data, coordinating with others to manipulate scoring, creating multiple accounts, or any conduct undermining program integrity.

Ergora reserves the right to audit Contribution Scores at any time. Consequences for violations include distribution clawback, account termination, regulatory referral, and legal remedies.

10. Legacy Members

Members who retire from active appraisal practice may convert to Legacy Member status (subject to availability). Legacy Members continue to receive distributions based on their existing Contribution Score, are not required to contribute new data, pay a reduced membership fee, retain referral program benefits, and do not have access to active appraisal features. Legacy Contribution Scores remain static but are subject to recency weighting.

11. Nature of the Program

Not an Investment. The Data Royalty Program is a data licensing revenue-sharing arrangement, not an investment opportunity. Subscription fees pay for platform access; royalties compensate for the commercial value of data you contribute.

Active Participation Required. Royalties are tied to data you contribute through ongoing professional work. This is not a passive income opportunity.

No Guarantee of Revenue. Ergora makes no guarantee that any Data Revenue will be generated. The quarterly revenue pool may be zero dollars in any given quarter. The Data Royalty Program depends on achieving a critical mass of contributed data sufficient to generate licensing interest from third parties. Ergora makes no representation regarding the timeline for achieving critical mass.

No Equity or Ownership. Participation does not confer equity, ownership, voting rights, or governance authority in Ergora LLC.

12. Dispute Resolution

Contribution Score disputes: submit written dispute to support@ergora.ai (response within 30 days; may request independent auditor at shared cost). Distribution disputes must be raised within 60 calendar days of the quarterly statement. General disputes are resolved per the Terms of Service, including binding arbitration in Wayne County, Michigan.

13. Miscellaneous

This Program Agreement supplements the Terms of Service and Data License Agreement. You may not assign or transfer your participation or rights to distributions. In the event of your death, accrued but unpaid distributions will be paid to your estate.
