Data License Agreement

This Data License Agreement ("Agreement") is entered into between you ("You," "Your," or "Licensor") and Ergora LLC, a Michigan limited liability company ("Company," "Ergora," "We," "Us," or "Our"), and governs the licensing of data you submit, create, or import through the Appraiser Guru platform ("Service"). This Agreement is incorporated into and made part of the Terms of Service.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS DATA LICENSE AGREEMENT. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SERVICE.

1. Definitions

  • "Your Data" means all appraisal reports, property data, comparable sales information, adjustment figures, market analyses, photographs, sketches, floor plans, workfile materials, and any other content you upload, create, input, or import into the Service.
  • "Contributed Data" means the subset of Your Data that is processed and incorporated into the Service's shared databases, including comparable sales records added to the shared comp pool, property characteristics, and adjustment patterns.
  • "Shared Comp Pool" means the collective database of comparable sales records contributed by opted-in users. Data is deduplicated by normalized address and retains full property details (address, characteristics, sale data). PII is stripped but property addresses are retained. Users must opt in to share data; non-opted-in data is stored in private containers.
  • "Anonymized Data" means data derived from Your Data that has been processed to: (a) remove all personally identifiable information (appraiser identity, client/borrower/lender names, contact information); (b) retain factual property data including full property addresses, characteristics, and sale information; (c) combine with data from a minimum of five (5) other users; and (d) apply statistical disclosure control techniques. For clarity: property addresses ARE retained in anonymized data; only PII is removed.
  • "Aggregated Datasets" means compilations of Anonymized Data from multiple users, presented at market-level granularity.
  • "Derivative Works" means any analyses, algorithms, machine learning models, market intelligence reports, or other works created using Anonymized Data or Aggregated Datasets.
  • "Data Revenue" means gross revenue from the licensing, sale, or commercial exploitation of Aggregated Datasets and Derivative Works. Excludes subscription fees, referral commissions, consulting fees, and advertising revenue.
  • "Contribution Score" means the numerical score assigned to participating members under the Data Royalty Program, based on quality, quantity, uniqueness, and recency of Contributed Data.

2. Your Ownership Rights

2.1 Retained Ownership

You retain full and complete ownership of Your Data. Nothing in this Agreement transfers ownership to the Company. You may access, copy, export, use, distribute, modify, or delete Your Data at any time.

2.2 Ownership Survives Termination

Your ownership rights survive termination of your subscription, this Agreement, or the Terms of Service.

2.3 No Claim by Company

The Company will never claim ownership of Your Data. All rights granted are limited license grants, not ownership transfers.

3. License Grant to Ergora

3.1 Service License

You grant the Company a non-exclusive, worldwide, royalty-free license to store, process, copy, display, and transmit Your Data solely as necessary to provide the Service.

3.2 Anonymization and Aggregation License

You grant a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to: analyze Your Data to develop and train algorithms and AI systems; create Anonymized Data; create Aggregated Datasets; create Derivative Works; and commercially exploit them.

3.3 Shared Comp Pool License

Contributing to the Shared Comp Pool requires your affirmative opt-in. Comparable sales data you contribute will be processed, deduplicated, and added to the Shared Comp Pool with full property details retained (addresses, characteristics, sale data). PII is stripped. Once contributed, data remains in the pool permanently, even if you later opt out or terminate your account, and may be used by other authenticated users. Non-opted-in users' data is stored in private containers accessible only to them.

3.4 No Additional Compensation

Except as provided in the Data Royalty Program Agreement (separate opt-in), no royalties or compensation are due for the license rights granted here.

4. Restrictions on Company

The Company shall NOT:

  • Sell or disclose Your Data in individually identifiable form
  • Provide your individual reports to third parties without consent
  • Share client, borrower, or lender identities
  • Identify you in Aggregated Datasets sold to third parties
  • Provide Your Data to AMCs, lenders, or regulators without legal process or consent
  • Attempt to reverse anonymization
  • Use Your Data to compete against you in appraisal services

5. Anonymization Standards

The Company will: remove all PII (appraiser identity, client/borrower/lender names, contact information); retain factual property data including full addresses; combine data from at least 5 users for aggregated datasets; apply k-anonymity principles to aggregated outputs; remove unique identifiers linking data to specific appraisers; and apply statistical disclosure controls. For clarity: property addresses are retained as factual, publicly available data — only personally identifiable information is removed. Annual anonymization audits are conducted.

6. Data Portability

Export Your Data at any time in MISMO XML (2.6 and 3.6), CSV, PDF, and ZIP formats at no charge. After termination, 30 days in read-only mode for export.

7. Deletion Rights

Delete individual items anytime (7-day removal). Full account deletion via support@ergora.ai within 30 days. Anonymized Data, Derivative Works, and Shared Comp Pool data that has been combined with other users' data cannot be individually deleted (see Section 3.3 regarding permanent contribution). Your ownership rights under Section 2 survive deletion of your account. Backups persist up to 90 days.

8. Data Security

Encryption in transit (TLS 1.2+) and at rest (AES-256); row-level security; signed URL access; virus scanning; security assessments; need-to-know access controls; 72-hour breach notification.

9. Revenue Sharing

The voluntary Data Royalty Program distributes 60% of Data Revenue quarterly. Requires separate enrollment. Normal use does not auto-enroll you. License grants in Section 3 apply regardless. Note: The Data Royalty Program depends on achieving a critical mass of contributed data sufficient to generate licensing interest from third parties. Ergora makes no representation regarding the timeline for achieving critical mass or guaranteeing any revenue will be generated.

10. Your Representations

You represent that: you have the right to submit Your Data and grant these licenses; Your Data does not infringe third-party rights; Your Data is accurate; MLS data complies with your MLS agreements; you hold a valid appraisal license; and submission does not violate USPAP.

11. Third-Party Data Sources

The Service integrates with third-party sources (FEMA, OpenStreetMap, Anthropic Claude). The Company does not guarantee third-party data accuracy. See the Subprocessor List.

12. Term, Termination, and Survival

Effective upon first use. Survives termination: Your Ownership Rights (Section 2); Anonymization License for already-created data (Sections 3.2, 3.3); Restrictions on Company (Section 4); Anonymization Standards (Section 5); Deletion Limitations (Section 7); Your Representations (Section 10).

13. Miscellaneous

This Agreement may be modified with 30 days' notice. Governed by the laws of the State of Michigan.
