Founding Member Agreement

1. Definitions and Eligibility
1.1 Founding Member Status
A "Founding Member" is an individual subscriber who joins the Appraiser Guru platform during the first one hundred (100) individual subscriber accounts created after the platform's public launch date. Founding Member status is limited to human individuals and is not available to organizations, institutional accounts, or trial users.
1.2 Allocation Method
Founding Member status is allocated on a first-come, first-served basis. Once one hundred (100) accounts have been designated, no additional Founding Member designations will be granted.
1.3 Eligibility Requirements
- Currently licensed real estate appraiser in good standing
- Create an account during the Founding Member enrollment period
- Complete the initial subscription payment
- Provide accurate and truthful account information
- Reside in or conduct business in the United States
2. Subscription Terms
2.1 Billing and Payment
Founding Members are billed on an annual basis only. The annual subscription cost is $1,788.00 USD per year ($149.00/month equivalent). No monthly billing option is available for Founding Members.
2.2 Renewal and Continuity
The annual subscription renews automatically each year on the anniversary of the original purchase date, unless cancelled prior to the renewal date. Failure to cancel before the renewal date constitutes authorization for the Company to charge the renewal fee.
3. Lifetime Price Lock
3.1 Price Guarantee
A Founding Member's annual subscription price of $1,788.00 is locked for the lifetime of their continuous subscription. This price lock applies forever and supersedes all future price increases.
3.2 Scope
The price lock applies only to base subscription fees for platform access. Premium add-ons, optional features, or auxiliary services may be priced separately and are not subject to the price lock.
3.3 Applicability
Regardless of the number of times the Company increases prices for standard subscriptions, a Founding Member's annual price remains fixed at $1,788.00.
4. Forfeiture of Founding Member Status
4.1 Loss Upon Cancellation or Lapse
Founding Member status is permanently forfeited if the subscription is cancelled or lapses at any point. A lapse occurs when: a renewal payment fails and is not remedied within thirty (30) days, the member does not renew before expiration, the member voluntarily cancels, or the account is suspended or terminated.
4.2 No Re-Acquisition
Once forfeited, Founding Member status CANNOT be re-acquired under any circumstances. The member may continue as a standard subscriber at the current market price. This is permanent and irreversible.
4.3 No Exceptions
The thirty (30) day grace period in Section 4.1 applies only to payment failures — not to voluntary cancellations. If you voluntarily cancel your subscription, Founding Member status is permanently forfeited immediately upon cancellation, with no grace period. No appeals or exceptions apply to voluntary cancellations.
4.4 Notification
The Company will send warning email notifications if a payment fails or the subscription is near expiration. However, the member remains solely responsible for maintaining their active subscription.
5. Enhanced Benefits
5.1 Data Royalty Program
Founding Members are eligible to participate in the Data Royalty Program on the same terms as all other members. All members earn equally based on their data contributions.
5.2 Priority Support
Founding Members receive the same excellent support available to all Appraiser Guru members, including full access to the support team via email and in-platform channels.
5.3 Founding Member Badge
Profiles display a distinctive "Founding Member" badge visible to other members and in search results.
5.4 Annual Conference Invitation
Complimentary invitations to the Appraiser Guru Annual Member Conference (if and when established). Includes food, beverages, and conference materials. Travel and lodging are the member's responsibility.
5.5 Availability
Certain benefits (Annual Conference, Priority Support) are contingent on the successful operation of the platform. The Company may modify or discontinue these benefits with thirty (30) days' notice. However, the price lock in Section 3 is guaranteed regardless.
6. Non-Transferability
Founding Member status and the associated price lock are personal to the individual who originally purchased the subscription. They cannot be transferred, sold, gifted, inherited, or assigned. Only the named account holder may use the account. If the account holder passes away, the account is closed and Founding Member status does not transfer to heirs.
7. Representations and Warranties
By purchasing Founding Member status, you represent and warrant that you are a currently licensed real estate appraiser in good standing and that all information provided is accurate and complete. The Company may verify licensure at any time.
8. Subject to Terms of Service
Founding Member status does not exempt you from the Terms of Service, Privacy Policy, Acceptable Use Policy, or any other governing agreements. Violations may result in account termination, including forfeiture of Founding Member status.
9. No Warranty of Platform Existence
The Company makes no guarantee regarding indefinite operation of the platform. If the platform is discontinued entirely, Founding Members will receive a pro-rata refund of unused subscription fees. Price lock guarantees do not apply if the platform is discontinued.
10. Governing Law and Dispute Resolution
Governed by the laws of the State of Michigan. Disputes are subject to binding arbitration per the Terms of Service.
11. Amendment and Modification
The Company may modify this Agreement per the amendment procedures in the Terms of Service. Any modification that materially reduces Founding Member benefits (such as the price lock) will apply only to new Founding Members and will not affect existing commitments.
12. Entire Agreement
This Founding Member Agreement, together with the Terms of Service and Privacy Policy, constitutes the complete agreement regarding Founding Member status.
